Accounting, Tax, and Valuation Issues in Acquiring US Companies

Mergers and acquisitions (M&A) activity has grown dramatically over the last decade and will likely continue to rise to unprecedented levels. Over the last few years, newly cash-rich Indian companies have slowly become emerging multinational conglomerates through US acquisition sprees. There were 93 acquisitions of US corporations by Indian companies in 2007, up from just six in 2003.
Several factors are pushing Indian companies to look beyond their national borders for potential targets. These include India’s strong economic growth, the loosening of restrictions on the flow of capital, the weakening dollar, and the desire of Indian companies to grow globally and in particular to gain a market foothold in the US.
Program Description
This course presents a comprehensive and thorough treatment of the regulatory, accounting, tax, and valuation issues relating to Indian companies acquiring US companies as well as US companies acquiring Indian companies. The accounting standards and tax rules in the US are significantly different from those in India which poses a significant challenge for an Indian acquirer in ascertaining the value of a target US company. In addition, an Indian acquirer has to understand the interaction between Indian M&A regulatory environment and US laws. This course takes a practical approach to these issues utilizing real-world mini-cases to illustrate key concepts and methodologies.
At the end of the program, participants will be awarded a certificate of completion by the UC Berkeley Center for Executive Education.
